Ondo Private Markets wants to put pre-IPO AI exposure onchain. Ondo Finance announced on October 6 a platform for tokenized notes tied to the per-share value of private companies, starting with an unnamed pre-IPO AI company whose notes are expected to begin trading this week. The catch: these are notes, not shares, and US investors are not invited.

What actually happened

Ondo Finance said in a statement that it is launching Ondo Private Markets, with the first market expected to go live this week. Robotics, cybersecurity, biotech and infrastructure companies are planned next, The Block reports.

Crypto Briefing adds the key mechanic: each note is linked to the per-share value of a reference company's common shares, with the eventual payout set by the note's offering documents. The tokens are freely transferable and composable, meaning they can plug into other onchain apps, including DeFi.

Ondo has not named the first AI company in the coverage we read. That is a big unknown for a product whose whole pitch is exposure to one specific company.

Why this is hype bait

The pitch hits a nerve. "In the US, the majority of the investment options accessible for retail are public companies, yet 87% of companies with over $100m in revenue are private," Ondo acting CEO and president Ian De Bode said, as quoted by The Block.

Pre-IPO AI is the hottest thing money can chase. Everyone wants a piece of the next AI giant before it lists, and prediction markets are already trading IPO timing, as we covered in Anthropic IPO Polymarket December. A token that tracks a private AI firm's share value scratches the same itch, without waiting for the listing.

Notes, not shares. No votes, no cap table, no US. Read that twice before you ape.

What you actually own

This is where you need to slow down. Ondo itself says the notes are not shares and do not give ownership or shareholder rights. You are exposed to the issuer, because the note is the issuer's obligation. If something goes wrong with the issuer or the structure, the reference company's success does not automatically save you.

Payout depends on qualifying liquidity events and the offering documents. That raises practical questions: what counts as a qualifying event, what happens if the company never lists, and how the note is valued in between. The coverage does not answer those in detail, so the documents are the primary source.

The bigger tokenization picture

Ondo Private Markets extends Ondo's push into tokenized assets. In July, it partnered with Japan's SBI Holdings to tokenize Japanese equities through Ondo Global Markets, per The Block.

What to do as a reader

If you are in the US, this is not for you, and using workarounds to get in is a bad idea. If you are an eligible non-US investor, read the offering documents for the first note before anything else. Look for the issuer, the exact payout formula, what counts as a qualifying liquidity event and what happens if none occurs.

Wait for the name of the reference company and for real secondary liquidity. Early trading in a brand-new tokenized product can be thin and jumpy.
